A growing, sophisticated Chicago-based law firm is seeking an experienced Corporate Paralegal to join its corporate practice. The firm works with a diverse client base that includes private equity firms, venture capital investors, startups, founders, family offices, and established companies on complex corporate and transactional matters.
This is a great opportunity for a corporate paralegal who enjoys taking ownership of transactions and working directly with attorneys and clients in a fast-paced, collaborative environment.
About the Role:
The Corporate Paralegal will work directly with attorneys on sophisticated M&A, private equity, venture capital, corporate finance, and general corporate matters. This person will manage the paralegal aspects of multiple transactions simultaneously, coordinate closings and deliverables, and provide ongoing corporate governance and entity-management support.
Responsibilities:
- Managing paralegal responsibilities across M&A and other corporate transactions, including closing checklists, transaction timelines, and post-closing matters
- Preparing and coordinating signature packets, execution documents, closing deliverables, and closing sets
- Coordinating due diligence and virtual data rooms
- Handling UCC filings, lien searches, good standing certificates, and other transaction-related searches and filings
- Forming and maintaining corporations, LLCs, partnerships, and other business entities
- Preparing and maintaining organizational documents, corporate records, board and stockholder consents, minutes, and governance materials
- Supporting equity issuances, capitalization records, stock certificates, and related corporate documentation
- Communicating directly with attorneys, clients, opposing counsel, and third-party vendors throughout transactions
Qualifications:
- 3+ years of corporate paralegal experience
- Meaningful experience supporting M&A or other corporate transactions
- Prior law firm experience strongly preferred
- Working knowledge of corporate governance, entity formation and maintenance, and transactional processes
- Strong organizational and time-management skills with the ability to manage multiple active matters simultaneously
- Detail-oriented, proactive, and comfortable working independently with limited day-to-day supervision
- Strong written and verbal communication skills
Preferred Experience:
- Private equity, venture capital, or startup transactional work
- Carta or similar equity-management platforms
- Form D and Blue Sky filings
- Equity issuances, incentive plans, and capitalization records
