Mergers & Acquisitions Attorney

We are working with a Growing Law Firm and they are looking for an experienced Mergers & Acquisitions Attorney to join their firm. Specifically, they are looking for someone who has 4+ years of experience.

Requirements:

• 4+ years of dedicated corporate transactional experience, with a focus on M&A at a reputable law firm or in-house legal department
• Expert drafting, negotiation, and analytical skills in commercial and transactional law
• Demonstrated ability to manage multiple complex transactions independently in a remote environment.
• Strong communication skills for high-touch, virtual client and team interaction
• Active bar license in good standing, within the United States

Responsibilities:

• Lead M&A transactions, including structuring, negotiating, and closing asset purchases, stock purchases, reorganizations, and joint ventures
• Draft and negotiate key deal documents, including Letters of Intent (LOIs), Definitive Purchase Agreements, Non-Disclosure Agreements (NDAs), Escrow Agreements, and ancillary closing documents
• Oversee comprehensive legal due diligence reviews, identify risk exposures, and synthesize actionable risk mitigation strategies for stakeholders
• Advise corporate clients on entity structuring, board approvals, shareholder agreements, compliance, and regulatory requirements related to transactional closings.

The annual salary for this position is between 175k-350k. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
