Leading Retail organization is seeking an experience Corporate Paralegal / Corporate Admin. This is a fully remote position with opportunity for overtime. Full benefits are included.


Scope of Work

Title: Corporate Paralegal / Administrator (contract)

Experience: 4+ Years

Location: Remote (United States)

Hours: 40 Hours / Week

Duration: 5 Months

Pay Rate: $70 - $90 / hr ($140,000 - $180,000 annualized)

Job description:


Responsibilities:

  • Provide daily support for the attorneys in the Corporate Law Group, including the VP-Governance, Senior Deputy General Counsel, and the Chief Legal Officer-Corporate Secretary.
  • Manage and file annual reports, utilizing online services and software to make certain securities filings and manage other corporate documents.
  • Assist with corporate governance responsibilities including board of directors’ and senior officers’ activities.
  • Prepare, file, and organize necessary documentation relating to entity maintenance and restructuring, such as corporate subsidiary annual reports, director and officer lists, written consents, minute books, and closing binders.
  • Support VP-Governance by assisting with the preparation of SEC filings (Forms 3, 4, 5) for corporate directors and officers using Section 16 Manager software.
  • Maintain insider trading blackout group lists and communicate with participants, HR, and external equity plan service providers regarding trading windows and pre-clearance.
  • Assist in preparations for the annual meeting of stockholders including the collection of certain data utilized in the proxy statement.
  • Maintain board of director records such as fees, equity grants, and deferred compensation book entries.
  • Respond to requests from business partners for corporate documents and information, interacting with tax and finance departments as needed.
  • Review, code, and manage invoices, prepare expense reports, budgets, and payment vouchers.
  • Act as liaison between in-house attorneys, business partners, and third parties including outside corporate and SEC counsel.
  • Serve as the point of contact with Registered Agents, Transfer Agent, and other corporate vendors.
  • Support urgent and time-sensitive projects, with availability for overtime as needed.
