Corporate Paralegal

Full-Time | Permanent | Fully Remote | U.S.-Based


We are currently recruiting for an experienced Corporate Paralegal to join an established legal team supporting corporate governance, SEC reporting, and compliance matters. This is a newly transitioned U.S.-based position and an excellent opportunity for a paralegal who is comfortable working independently and taking ownership of their responsibilities.


The team is moving quickly and is interested in reviewing qualified candidates as soon as possible.


Position Overview

The Corporate Paralegal will provide support to the General Counsel and legal team across corporate governance, SEC filings, entity management, and other corporate legal matters. The ideal candidate will have strong SEC experience, excellent organizational skills, and the ability to manage multiple priorities with limited supervision.


U.S. candidates are welcome to apply regardless of location. East Coast candidates are preferred, although candidates who have successfully worked East Coast/EST hours from another time zone will also be considered.


Key Responsibilities

  • Prepare and coordinate SEC filings, including Form 8-K, Forms 10-Q and 10-K, and Section 16(a) filings
  • Support SEC governance and ongoing corporate compliance requirements
  • Assist with state registrations, annual reports, business licenses, and other entity compliance matters
  • Maintain corporate records, including minute books, resolutions, bylaws, and other governance documentation
  • Support corporate governance activities across domestic and international entities
  • Assist with corporate transactions, including financings, mergers, acquisitions, and other strategic matters
  • Conduct legal research and assist with corporate legal matters as needed
  • Coordinate with outside counsel, regulatory agencies, and internal stakeholders
  • Maintain accurate and organized legal documentation and records
  • Help ensure deadlines and regulatory requirements are met


What We’re Looking For

  • 5–7+ years of corporate paralegal experience, ideally with significant SEC reporting and corporate governance experience
  • Strong hands-on experience with SEC filings and Section 16 reporting
  • In-house legal experience is highly preferred
  • Experience supporting global or international organizations is strongly preferred
  • Experience working with UK-based companies or international entities is a plus
  • Experience with Foreign Private Issuer (FPI) reporting is highly valued
  • Biopharmaceutical, life sciences, or another regulated industry background is strongly preferred
  • Strong understanding of corporate governance and securities compliance
  • Ability to work independently and take ownership of responsibilities
  • Excellent attention to detail and strong organizational skills
  • Strong written and verbal communication skills
  • Ability to manage multiple deadlines and priorities in a fast-paced environment
  • Strong work ethic, professionalism, and sound judgment
